Using a model like this is best practice
At Hewitt, as we work with companies, we usually start by understanding their business strategy.  Sometimes if a company does not have a strong strategy, we will tell them that they need to do that first, before we can work effectively with them.
Although we don’t know the individual strategies of SOEs, we cannot be prescriptive in detail about what is required. 
However, on the following pages, we show a few examples about what might need to happen for each of the five factors
US system is very flexible on relationships between management and board.  While not without its problems, it works well for Americans.
Chinese experience is rule by man, and power matters.  Need for a transition toward rule of law
German system makes sharper distinctions in roles, and maybe better for China, given present situation.
Board’s role of representing all shareholders was learning from US
Committee system also a learning from US - some committees are the same across companies - some are different
Just as role of government is to create structure within which people can prosper……
Changing structure will be necessary.  It will take much effort to ensure that the changes “stick” and work well.  Hewitt can help a lot in this area.
